(JVS), a plaintiff in the lawsuit, has filed a motion to disqualify the Township’s defense counsel, Allan Zhang, and his firm, Rainone, Coughlin, Minchello LLC, alleging a serious conflict of interest. Managing Partner Lou Rainone has worked on and off as the Edison Township attorney for over twenty years.
The heart of the dispute lies in a land exchange agreement between JVS and 41 Glendale LLC (Glendale), intended to facilitate JVS’s business expansion. However, Glendale unexpectedly sold the property promised to JVS to the Township of Edison, sparking the current legal battle.
JVS claims that Zhang, while previously employed at a different law firm, represented JVS in a separate land dispute with the Township. During this time, Zhang allegedly gained access to confidential information regarding JVS’s business strategies and legal tactics. JVS now accuses Zhang of exploiting this knowledge to benefit the Township in the ongoing lawsuit.
According to JVS’s legal counsel, Fox Rothschild LLP, Zhang’s actions violate several Rules of Professional Conduct. These rules, designed to uphold ethical standards in the legal profession, prohibit lawyers from representing clients with interests that conflict with those of former clients.
JVS further asserts that Zhang’s alleged conflict of interest extends to his entire firm, as they failed to properly screen him from the case or notify JVS of his representation of the Township. The motion also emphasizes that the Township, as a public entity, cannot waive this conflict, further intensifying the issue.
